Zerascan API & SDK License Agreement

1. Agreement and Scope

This Zerascan API & SDK License Agreement governs access to and use of the Zerascan developer interfaces, including APIs, SDKs, documentation, sample code, schemas, data feeds, dashboards, authentication systems, and related tools made available by Visiondynamics AG.

By requesting credentials, using a key or token, installing an SDK, calling an endpoint, or otherwise integrating with the Developer Interfaces, you agree to this Agreement on behalf of yourself and any entity you represent.

The Zerascan Terms of Use and Zerascan Privacy Policy are incorporated into this Agreement by reference. Together, they form the terms governing API/SDK access, related service use, and applicable data handling. In any conflict, this Agreement controls API/SDK access, and the Privacy Policy controls privacy-specific disclosures.

2. Definitions

  • Developer Interfaces means the Zerascan APIs, SDKs, code libraries, documentation, schemas, hosted endpoints, authentication systems, dashboard features, and related tools.
  • API Credentials means API keys, bearer tokens, secrets, passwords, and other authentication material issued for the Developer Interfaces.
  • Developer Application means any service, app, wallet, script, bot, or other system that uses the Developer Interfaces.
  • Output means data, responses, metadata, route/quote outputs, token and protocol state values, liquidity and transaction metadata, logs, and other materials returned through the Developer Interfaces.
  • End User means any person or entity that uses a Developer Application.
  • Order Form means a written commercial order, subscription, invoice, or plan notice accepted by Visiondynamics AG that sets terms, fees, or limits for access.

3. License Grant

Visiondynamics AG grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Developer Interfaces solely to build, test, operate, and maintain Developer Applications that display or consume Zerascan Output.

You may copy SDK code, examples, and Documentation only as reasonably necessary to exercise this license. You may not redistribute or expose the Developer Interfaces as a standalone substitute data platform or competing API/SDK without prior written permission.

4. Data-Only Service and Regulatory Role

The Developer Interfaces are data-provider interfaces only. They provide technical and informational access to public blockchain records, public protocol state, swap and routing-related data, quote-like values, transaction metadata, token metadata, liquidity indicators, and related public or third-party source data.

The Developer Interfaces do not hold, receive, pool, custody, administer, or transfer customer crypto-assets, fiat currency, funds, private keys, wallet credentials, or other monetary value. The Developer Interfaces do not create hosted wallet balances, omnibus customer accounts, payment accounts, exchange accounts, or customer asset accounts.

Swap, route, and quote-related Output is information only. It is not an order, recommendation, execution service, acceptance of value, transmission of value, settlement service, or undertaking to complete a transaction. Any transaction that a developer or End User signs, submits, broadcasts, or executes occurs outside the Developer Interfaces and settles, if at all, on public blockchains or third-party protocols according to their own rules.

The Developer Interfaces do not:

  • take custody of customer assets,
  • hold or control private keys, seed phrases, signing credentials, or wallet recovery material,
  • control user wallets or have unilateral authority to sign, approve, reverse, freeze, redirect, cancel, or complete transactions,
  • maintain hosted wallet balances, omnibus accounts, order books, matching engines, exchange accounts, or payment accounts,
  • accept and transmit value from one person or location to another,
  • buy from or sell to users as principal, market maker, dealer, liquidity provider, or counterparty,
  • execute orders, receive and transmit orders, clear trades, settle transactions, or provide transfer services on behalf of clients,
  • provide fiat on-ramp, fiat off-ramp, payment processing, bank, custody, brokerage, exchange, advisory, portfolio management, or investment services,
  • issue, underwrite, place, promote, or distribute crypto-assets on behalf of an issuer.

This role is intended to be limited to technical data delivery and related developer tooling. It is not intended to constitute money transmission, custody or administration of crypto-assets, operation of a trading platform, exchange of crypto-assets for funds or other crypto-assets, execution or reception/transmission of orders, transfer services, investment advice, portfolio management, VASP/CASP activity, broker-dealer activity, financial intermediation, or any similar regulated financial service where those classifications depend on custody, control, acceptance/transmission of value, order execution, proprietary exchange activity, or acting for or on behalf of a customer.

Developers are solely responsible for determining whether their own Developer Application, jurisdiction, customer base, transaction flow, custody model, or added functionality creates licensing, registration, disclosure, AML/KYC, sanctions, consumer-protection, tax, or other legal obligations.

5. Use of Output and Attribution

You may make Output available to End Users only as part of a meaningful Developer Application that complies with this Agreement.

If you access the Developer Interfaces under a free plan and your Developer Application publicly displays substantial Output, you must include reasonable attribution such as "data provided by zerascan.io" unless Visiondynamics AG waives this in writing. Paid and enterprise attribution terms, if any, are governed by the applicable Order Form or commercial terms.

You may not misrepresent the source, meaning, or completeness of Output.

6. Developer Responsibilities

You are solely responsible for your Developer Application, your End Users, and all uses of Output. You must:

  • monitor and comply with applicable law and Documentation,
  • test thoroughly before production use,
  • keep API Credentials secure and immediately revoke compromised credentials,
  • notify Zerascan support promptly of material security incidents and data-quality issues.

7. API Credentials and Access Limits

You are responsible for all activity under your API Credentials, including actions by employees, contractors, tools, and integrations. Keep credentials out of public code and public repositories.

Access may be subject to authentication, quotas, rate limits, plan restrictions, and other commercial terms stated in an Order Form, Dashboard, invoice, or account communication. You must meet those limits.

8. Data Accuracy, Scope, and Risks

Output is provided for technical and informational purposes only. It is not financial, legal, tax, accounting, investment, compliance, or regulatory advice.

The Developer Interfaces do not guarantee that Output is complete, timely, uninterrupted, profitable, suitable, lawful for a specific use, or free from error. Blockchain networks, validators, RPC providers, liquidity venues, third parties, and public sources may produce inconsistent, delayed, or incorrect data.

9. Disclaimers and Liability

To the maximum extent permitted by law, the Developer Interfaces and Output are provided "as is" and "as available." No oral or written communication from Visiondynamics AG changes this.

To the maximum extent permitted by Swiss law, Visiondynamics AG is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, and direct liability is limited to the fees paid by you in the 90 days before a claim, unless mandatory law provides otherwise.

10. Term, Termination, and Post-Termination

This Agreement starts when you first use the Developer Interfaces and remains in effect until terminated.

Visiondynamics AG may suspend or terminate access for material breach, non-payment, repeated abuse, security compromise, or unlawful use.

Upon termination, you must immediately stop using the Developer Interfaces and remove active integrations that rely on them.

11. Changes, Notices, and Legal

Visiondynamics AG may amend this Agreement by posting an updated version in Zerascan Documentation, in an API portal, or via account communication. Continued use means acceptance of updated terms.

Operational notices may be sent by documentation updates, dashboard messages, email, or account notices.

This Agreement is governed by Swiss law and interpreted accordingly. Disputes are subject to exclusive arbitration in Zug, Switzerland, unless mandatory law requires a different forum.

12. Miscellaneous

You may not assign this Agreement except as required by corporate reorganization or legal succession, and any successor must assume this Agreement. If any term is unenforceable, remaining terms continue in effect.

By accessing, installing, calling, or otherwise using the Developer Interfaces, you confirm that you understand and agree to this Agreement.
